Terms of Service

The agreement governing access to and use of the Meridian platform by advisory firms and their authorised users.

1. Agreement

These Terms of Service ("Terms") govern access to and use of the Meridian software platform ("Service") provided by Meridian Cashflow Technologies Ltd, a company incorporated in the United Arab Emirates ("Meridian," "we," "us"). By creating an account or subscribing, the firm and its authorised users ("you," "Customer") agree to these Terms.

2. What Meridian is — and is not

Meridian is a cashflow forecasting and financial-illustration software tool for use by licensed/qualified financial advisers and advisory firms.

Meridian is not financial advice. Meridian does not recommend, endorse, or advise on any financial product, investment, or course of action. All outputs (projections, charts, reports) are illustrative forecasts based on inputs and assumptions entered by the adviser using the Service. Meridian does not verify the accuracy, suitability, or completeness of any data entered, and does not distinguish between real and illustrative client data.

Meridian does not perform a regulated financial services activity. It is a calculation and presentation tool, comparable in function to spreadsheet or general forecasting software. Responsibility for the suitability, accuracy, and regulatory compliance of any advice given using Meridian's output rests entirely with the adviser and their firm, in accordance with their own regulatory obligations (e.g., DFSA, FCA, or other applicable regulator).

No guarantee of forecast accuracy. Projections are based on assumptions (growth rates, inflation, tax treatment, etc.) selected by the adviser. Actual outcomes will differ. Meridian is not liable for decisions made based on its output.

3. Accounts

  • You must provide accurate registration information and keep login credentials secure.
  • Each subscription is licensed to a named firm; seats/users are as agreed at signup.
  • You are responsible for all activity under your firm's account, including data entered by your users.
  • You must notify us promptly of any unauthorised access or security concern.

4. Subscription, fees, and payment

  • Fees are billed monthly in advance via Stripe, per the plan selected at signup. Annual billing may be offered at a discount.
  • Prices may change with 30 days' notice to active subscribers.
  • Non-payment may result in suspension of access after 7 days' notice.
  • No refunds for partial billing periods, except as required by law.

5. Client data — ownership and responsibility

  • The firm owns all client data entered into Meridian. Meridian claims no ownership over, and no license to use, client forecast data beyond what is necessary to provide the Service.
  • The firm, as data controller, is responsible for having a lawful basis to collect and process any client data it enters, including client consent where required by its own regulatory obligations.
  • Meridian processes this data solely as a processor, under the terms of the Data Processing Agreement (DPA), incorporated by reference into these Terms.
  • The firm may export or request deletion of its data at any time, as described in the DPA.

6. Acceptable use

You agree not to:

  • Use the Service to store or process data you are not lawfully entitled to hold;
  • Attempt to reverse-engineer, resell, or white-label the Service without written agreement;
  • Share login credentials outside your authorised users;
  • Use the Service in any way that violates applicable law or infringes third-party rights;
  • Attempt to breach or circumvent the Service's security controls.

7. Intellectual property

Meridian retains all rights, title, and interest in the software, design, brand, and underlying technology. These Terms grant Customer a non-exclusive, non-transferable right to use the Service during an active subscription — no other rights are granted.

8. Confidentiality

Each party will keep the other's confidential information (including client data, pricing, and non-public product information) confidential and use it only as necessary to perform under these Terms.

9. Availability and support

We aim for high availability but do not guarantee uninterrupted access. Planned maintenance will be communicated where practicable. Support is provided via support@meridiancashflow.com, with a target response time of one business day (Sunday–Thursday, in line with UAE business days).

10. Liability

To the maximum extent permitted by law:

  • Meridian's total liability arising from or related to the Service is limited to the fees paid by Customer in the 12 months preceding the claim.
  • Meridian is not liable for indirect, consequential, or special damages, including loss of profits or client relationships.
  • Nothing in these Terms limits liability for death, personal injury caused by negligence, fraud, or any liability that cannot be excluded by law.
  • Meridian is not liable for the accuracy of forecasts, or for advice or decisions made by advisers using the Service's output.

11. Termination

  • Either party may terminate for convenience with 30 days' notice.
  • We may suspend or terminate immediately for material breach, non-payment, or misuse.
  • On termination, Customer may export data within 60 days, after which it will be deleted per our data retention policy.

12. Governing law

These Terms are governed by the laws of the United Arab Emirates, and disputes are subject to the exclusive jurisdiction of the courts of Dubai.

13. Changes to these Terms

We will notify Customer of material changes with reasonable notice. Continued use after changes take effect constitutes acceptance.
